C-Angelx Terms and Conditions
This agreement was written in English. To the extent any translated version of this agreement conflicts with the English version, the ‘South African English’ version will be the prevailing language of reference.
By using C-Angelx Services, you agree to these terms & conditions. Please read them carefully:
In this agreement:
- ‘Users’ shall be defined as Merchants, NPOs (Non-Profit Organizations) and Patrons’ collectively.
- ‘Patrons’ are defined as customers, shoppers, members, or supporters - who follow Merchants & NPOs’ accounts.
1. About: C Angel Ecommerce (PTY) Ltd - (Trading as C-Angelx ™ )
We would like to welcome you to C-Angelx and thank you for using our services. We value & appreciate your support.
C-Angelx is an ‘eCommerce-Mall’ & platform that enables virtually any type of merchant to create its e-commerce account within C-Angelx & then sell its merchandise & receive payments online (of sales, lay-bys, rent, etc), or for any NPO (Non Profit Organization) to fundraise most efficiently and receive donations online’ - (with a customizable unique user-handle’ for its current & prospective patrons to find & follow its ecommerce account) all within the C-Angelx environment.
C-Angelx doesn’t necessarily own the items displayed on the various accounts of the respective merchants, neither does it fundraise on behalf of NPOs - but rather serves also as a platform for prospective Patrons (customers, clients, supporters, etc) with C-Angelx accounts to also search, find and follow C-Angelx accounts of individual merchants and NPOs they like in order to interact with online’ using necessary tools made available to all users. The actual contract for sale or donation therefore’ is directly between the respective Merchants or NPOs & their Patrons (individuals).
2. Use of Site
In addition to creating your own personal C-Angelx account or both your personal and business accounts - You may only use this site for your own personal or business needs (without violating any rules of the site in these T&Cs), or for browsing the contents, for legitimate purchases, donations or payment of bills if you intend to, or selling your merchant’s products, collecting payments, or even for fundraising for your NPO; but you shall not use this site for any other distractive purposes, including without limitation, to make any false or fraudulent purchase, sale or donation, fraudulent fundraising, scam, etc. This site and the contents provided in this site may not be copied, reproduced, republished, uploaded, posted, transmitted or distributed without consulting us and receiving our written permission to do so or the permission of the specific account/content owner. 'Deep-linking', 'embedding' or using analogous technology is strictly prohibited. Unauthorized use of this site and/or the materials contained on this site may violate applicable copyright, trademark or other intellectual property laws or other laws.
C-Angelx also enforces the following conditions when using the site, and your commitment is expected’ so that every user is happier & safer:
3. C-Angelx Mobile App Terms & Permissions
When you use apps created by C-Angelx, you may grant certain permissions to us for your device. Most mobile devices provide you with information about these permissions.
- The C-Angelx mobile app is also governed and bound by these user Terms & Conditions to the fullest extent.
ADDITIONAL C-Angelx APP TERMS
The following terms apply to C-Angelx apps (including any updates or upgrades to the app) and any related documentation we make available to you in connection with C-Angelx Services (the "C-Angelx App").
4. Registration and Account Security
Patrons:
As a Patron, you can sign-up for your own free C-Angelx account, and then follow as many merchants & NPOs of interest as you would like, through their individual C-Angelx accounts (searching by product, business name or unique User-Handle)’ for convenient & secure e-commerce relationships.
As a patron (shopper, etc.), you also agree that you have read the Terms and Conditions or Return Policy of the merchant or NPO you are transacting with, as each entity within C-Angelx has differing Return Policy or Terms from the other entities.
Merchants and NPOs:
` Before creating a C-Angelx Merchant or NPO account, you MUST first create a personal C-Angelx account, which would enable you to optionally create within it’ an account for your business (through the ‘My Account’ menu on the top right). You will also need to create an account with PayPal or Payfast ( or any other third-party partner Credit-Card processing company) via a link on C-Angelx during registration, so that the payment gateway’ can process and transfer your money into your business bank account after each sale or donation (happening through your C-Angelx account) by your patrons.
- Merchants may also need to create a courier services account with DHL Global Express ( www.dhl.com ), so that a unique DHL ID can be supplied for use on C-Angelx, and can be inserted on the appropriate filed when registering a merchant account on C-Angelx.
- Alternatively, as a merchant you can choose to use your own in-house courier service instead of DHL, and then tailor the fixed courier prices for your patrons (customers).
User-Handles:
- Merchant & NPO (User-Handles): For tighter security & efficiency reasons - C-Angelx ‘user-handles’ are globally unique, and may begin with the name of a merchant or NPO, and then the ‘@’ sign, followed by either the actual name of the Mall (complex, centre, etc) where the merchant/NPO is located, or the name of the Road (Avenue, Drive, Street) of physical address where the merchant or NPO is located’ if not housed at a mall/centre, e.g.: cancerfund@wallstreet or kindergarten@apartmentscomplex, wildmeat@rosebankmall, etc (You can either use the name of the centre at the end of your user-handle, or the street name if not based inside a mall/centre).

Once a user-handle has been accepted during registration, and the owner of it/admin discovers that he’s made a spelling error, typo, or wishes to change the name, or the user-handle already exists (rejection of user-handle/possible fraud) – he/she should contact our help-centre asap, using the following address: [email protected] or [email protected]
- Patrons (customers, clients, supporters, or members) do not need to have user-handles’ but would instead use their email addresses or cell phone numbers during the creation of their respective personal C-Angelx accounts, and then unique C-Angelx account numbers would be generated and given to each registered individual for C-Angelx’s other services & additional ID purposes, such as for the use of the C-Angelx Ecommerce Top-up service (CET – coming soon).
Users
As a C-Angelx user you have to provide your real names and information, & also accept the following commitments when registering, for the sake of maintaining the security of your account/s:
If you select a username or similar identifier for your account or Page, we reserve the right to remove or reclaim it if we believe it is appropriate (such as when a trademark owner complains about a username that does not closely relate to a user's actual name).
User Contributed ideas & suggestions:
1. Users accept and agree that ideas which are suggested (by them) through our contact forms’ may or may not always be applied to the platform, and in the event that they are applied or adopted – no compensation or acknowledgement or credit will be given to the user individually or as a group. If a user would like to be compensated or credited with an idea prior to its adoption, such a user should first get into a business arrangement with C-Angelx by way of a written and legally binding agreement that is signed by itself & then an authorized C-Angelx representative’ prior to the user disclosing such information to C-Angelx, and an NDA form should optionally be in place too.
1.2. If such a proposal is rejected for various reasons, i.e.: it may not be original, or C-Angelx may already be working on a similar idea or suggestion, lack of interest, etc – the user should accept the outcome. If not satisfied or happy the user is welcome to follow other legal means to verify C-Angelx hasn’t necessarily stolen its idea, however C-Angelx is not obligated to explain itself to the user after rejecting the user’s idea or disagreeing to certain parts of it.
2. User based suggestions on our UX/UI cannot be compensated for even under a business-proposal based approach’ as these change constantly and are improved from time to time.
2.1. Any suggestions via our online contact forms’ which do not meet the standard on clause 1. above (User Contributed ideas & suggestions)’ and are applied or adopted by C-Angelx as based on the functions of use or appearance of our platform may not be ‘claimed back’ by the user nor will we accept any request to us from the user to reverse them’ due to whatever disagreements by the parties – as these would also be regarded as normal ‘User Feedback’ to help us continue improving our platform and offering’ as normal with any other web or app platform.
5. C-Angelx ‘Verified Account’ sign for Merchants and NPOs
- C-Angelx has a ‘Verified Account’ sign for merchants & NPOs, which can be applied for’ & placed next to the user-handle on the front page of the C-Angelx Account of the respective merchant or NPO’ for its Patrons to see.
This sign would help enhance the trust-worthiness of your account to current & prospective patrons, & further help improve the image of your account. You will need the following to apply for a Verified Account sign:
- Email us the above information & files attached ( [email protected] ), and include your merchant’s or NPOs’ User-Handle & your ‘personal’ C-Angelx account info (email/cell of the merchant or NPO account holder), with the subject line: Account verification application. Do note that Processing may take a few days before the ‘Verification Sign’ is placed.
C-Angelx ‘Verified Account’ sign
- While the ‘Verified-Account’ sign may indicate that the account has been verified by C-Angelx - you the patron must still be cautious & careful. C-Angelx will not be liable in any way to the Patron in the event of any losses, even when the respective account of a merchant or NPO has a ‘Verified Account’ sign. Follow merchants & NPOs that you can trust.
6. Fees
- Patrons would continue to use C-Angelx freely’ for life, while the only costs to be incurred would be from 3rd party service providers - i.e. network data costs.
- In regards to merchants: C-Angelx has NO subscription or trial-period whatsoever. We generate revenue through advertisements, and a fee of 5% from the total online purchase or installment paid (by the Patron) to the merchant - i.e. a total 100-Bucks purchase would return us 3-Bucks (we do not charge the Patron, but the merchant). Another cost to be incurred by the merchant is from the third-party payment-gateway service provider (credit-card processor - if the patron used a credit-card to pay), which is a fee deducted for credit-card processing: thus, it is reasonable for the merchant to take these fees into account when setting up prices of items in its C-Angelx account (i.e. online prices can be different from the physical store prices of the merchant).
- The donations received by NPOs are exempt from the 5% fee (controlled adverts may be displayed however). Third-party payment gateway (credit-card processing fee) charges may still apply .
- Thus, by signing-up for C-Angelx’s services as a merchant - you consent and agree to C-Angelx collecting its 5% cut from online sales, or online instalments (of rent, lay-bys/down-payment, subscription, etc), done through C-Angelx.
7. Disclaimer of Warranty
C-Angelx has put reasonable measures in place to keep all users safe, secure and happy during or after the use of the site and continues to constantly review & update the site accordingly. We cannot however always guarantee constant & uninterrupted access and operation of the site & its services, including the user accounts. Some negative events might happen and bring about adverse effects beyond C-Angelx’s control, and C-Angelx cannot accept liability of any sort during and after such an event.
You agree therefore that you are using this site with the above statement in mind, and that the contents of this site, including the respective accounts of the ‘Users’ are provided "as is" without warranty of any kind, either expressed or implied, including but not limited to warranties of merchantability, fitness for a purpose and non-infringement.
The owner of this site, the authors of these contents and in general anybody connected to this site in any way, from now on collectively called "Providers", assume no responsibility for errors or omissions in these contents.
The Providers further do not warrant, guarantee or make any representation regarding the safety, reliability, accuracy, correctness or completeness of these contents. The Providers shall not be liable for any direct, indirect, general, special, incidental or consequential damages (including -without limitation- data loss, lost revenues and lost profit) which may result from the inability to use or the correct or incorrect use, abuse, or misuse of these contents, even if the Providers have been informed of the possibilities of such damages. The Providers cannot assume any obligation or responsibility. In emphasis, C-Angelx & its owners cannot take responsibility for any losses of any sort resulting from your personal or business use of C-Angelx.
The use of these contents is forbidden in those places where the law does not allow this disclaimer to take full effect.
8. Our Rights
We reserve the right to:
1. Modify or withdraw, temporarily or permanently, the Website (or any part of) with or without notice to you and you confirm that we shall not be liable to you or any third party for any modification to or withdrawal of the Website; and/or
2. Change these Conditions from time to time, and your continued use of the Website (or any part of) following such change shall be deemed to be your acceptance of such change. It is your responsibility to check regularly to determine whether the Conditions have been changed. If you do not agree to any change to the Conditions then you must immediately stop using the Website.
3. We will use our reasonable endeavors to maintain the Website & mobile apps. The Website & mobile apps are subject to change from time to time. You will not be eligible for any compensation because you cannot use any part of the Website or mobile apps due to or because of a failure, suspension or withdrawal of all or part of the Website/apps due to circumstances beyond our control .
Trademarks
- C-Angel (PTY) Ltd as a company and platform trading as C-Angelx, will not be held liable in any way regarding the misuse of trademarks that do not belong to us C-Angel’ by merchants trading online through C-Angelx, as C-Angelx is only a platform & does not necessarily own the items or trademarks listed in it’ by users.
9. Privacy Policy
C-Angelx is committed to protecting your privacy. We collect personal information from you & any internet connected devices you use when you access C-Angelx’s Services, including when creating an account with us and other subsequent correspondence with us relating to our services or interaction with you in regard to our services.
We use your personal information to provide services to you’ available to users (and other related services of our product as required for ecommerce to happen), & also to provide you with a personalized experience on our site or app, contact you about your account and our services generally where needs be, provide you with personalized advertising & marketing’ based on your interests or adverts you click & your location (Location Based Services), general customer services, & to detect or intercept, prevent, mitigate & investigate fraudulent or illegal activities
We ensure the safety of your personal information by using technical & administrative security measures to minimize the risks of loss, theft, misuse, unauthorized access, disclosure and alteration. 10. Cookie/Tracking Technology
The Site may use cookie and tracking technology depending on the features offered. Cookie and tracking technology are useful for gathering information such as browser type and operating system, tracking the number of visitors to the Site, and understanding how visitors use the Site. Cookies can also help customize the Site for visitors. Personal information cannot be collected via cookies and other tracking technology; however, if you previously provided personally identifiable information, cookies may be tied to such information. 11. Third Party Links
In an attempt to provide increased value to our Users, we may provide links to other websites or resources. You acknowledge and agree that we are not responsible for the availability of such external sites or resources, and do not endorse and are not responsible or liable, directly or indirectly, for the privacy practices or the content (including misrepresentative or defamatory content) of such websites, including (without limitation) any advertising, products or other materials or services on or available from such websites or resources, nor for any damage, loss or offence caused or alleged to be caused by, or in connection with, the use of or reliance on any such content, goods or services available on such external sites or resources.
12. Product availability
Lead time is dependent on stock availability in the inventory of the particular merchant you’re following on C-Angelx. Should they have stock available, orders will be dispatched the same day or next’ provided payment is validated/received timeously.
Should the product not be in stock please allow around 10 working days plus freight transit time. This will allow for manufacturing and delivery to the relevant merchant’s warehouse, unless stated otherwise in its respective T&Cs.
C-Angelx encourages merchants who sell products on its platform to make efforts to effect shipment of your order timeously, however unforeseen circumstances may cause delays. Should the relevant merchant be faced with such an occurrence they will contact you via email & provide a revised shipping schedule.
13. Delivery Policy
When you click to make a purchase through us’ legal obligations arise and your right to refund of monies charged to your credit card or paid in any other way agreed by us or the relevant merchant, are limited by our terms & conditions or those of the merchant. You must not make any purchase through this site unless you understand and agree to all our terms and conditions and or the respective merchant’s. Once payment is made for the purchase, it is deemed that you have read and understood the terms and conditions for such purchase. If you have any queries please contact the relevant merchant’s admin (account owner - which you may likely be ‘following’) before making any purchase for any product, service or donation through this website.
Shipping
Individual C-Angelx merchants would either use their own preferred courier services provider or C-Angelx’s official courier partner - DHL, to courier purchased items.
Please also note that courier services may be more expensive when collecting from multiple merchants at different locations as collections are charged per merchant collection, as dictated by the items from different merchants in your cart after checking out (such as when you add different items from various merchants before completing checkout). So courier services would be cheaper when collecting all purchased items from the same merchant at a time, thus as a patron it is advisable to take note of these variables before finalizing the purchase. Do also read the T&Cs or User Agreement of the courier service of your choosing, beforehand.

Undeliverable packages
Occasionally packages are returned to the relevant merchant undeliverable. Should this event take place the respective merchant should make every attempt to contact you to make arrangements for re-shipment.
Order processing
Order processing will not begin until the merchant receives a confirmed order and full payment, or completion of the final payment in cases of Lay-by purchasing.
14. Refunds/returns Policy
- As mentioned, C-Angelx does not store inventory of merchants, nor do we handle such physically – but these are held and handled at the individual merchant’s facilities. However, the merchant is also required to provide its email address and contact number, which is visible on its Wall’ for Patron’s to get in touch should they individually wish to make arrangements or inquiries. Thus:
- Should you as a Patron for any reason wish to cancel your purchase, you will be advised to contact the relevant merchant directly’ as contacting C-Angelx may cause delays due to the volume of emails we receive and our operational structure generally (Patron can only contact us if he or she has a complaint or dispute with a merchant, and would like to report this). Furthermore, the patron may be liable for a specified handling fee (this is entirely dependent on the individual merchant. Do also click the Ts&Cs link of each individual merchant and study this carefully (available on the front page of the respective organization’s Wall or account on its respective C-Angelx Wall), which you’re requested to read before deciding to click the ‘follow’ button. You must also timeously advise the relevant merchant in writing of your cancellation and any such cancellation must be signed by the person who made the original purchase. The goods must be returned to the merchant undamaged in the original packaging within 14 calendar days.
- You can use DHL©®™, or any other courier services of your choice, but it must be a speed-service based courier company. - The courier services costs associated with the returns or moving of the item/s’ will be incurred by the patron.
* Note: Most merchants recommend that you use Speed Services Couriers (South African Postal Services if in South Africa, or other reliable and quick service depending on your country) for all returns as it offers shipment tracking through a 24 hours customer helpline. Should you choose to use a carrier that does not offer a tracking facility and the goods are lost then no refund or return will be considered by the merchant.
Customers should generally make use of a courier that offers:
1. Shipment tracking.
2. Insure your package for safe return and declare the full value of the shipment failing which loss or damage will be for your account.

- The primary country of operations is South Africa due to C-Angelx’s headquarters’ – however, products may be purchased from other countries outside of South Africa where C-Angelx may have operations at.
15. Payment Options and Pricing
`Transactions will be processed primarily in US-Dollar, and secondarily in Euro, South African Rands (ZAR), Indian Rupee, or available currency of your country if C-Angelx does cater for it through its third-party payment gateway partner such as PayPal®™.
- It is up to individual merchants within C-Angelx to endeavour to offer you competitive prices on current products; your total order price will include the price of the purchase plus any applicable sales tax, while shipping charges (on the day of shipping) may also be included in the total depending on the merchant, as some merchants may offer free shipping as based on the amount spent & their individual terms.
- The Merchants you’re following within C-Angelx reserve the right to change pricing at any time without prior notice.
Credit Card
C-Angelx also accepts MasterCard and Visa credit cards via a third-party partner. If you do not have a credit card please utilise one of the other payment options, or simply log off & return to the site at a later time to complete your order. All of your order details will be saved in your account’s Shopping Cart. Credit-Card transactions are processed by our trusted third-party partners. 16. Security Policy
- C-Angelx has been from the outset’ designed with security in mind, & uses a very secure software language & design. We are further hosted at secure facilities (Google-Cloud) which is efficient & trustworthy. Our technical & administrative teams have safety & security in mind, and have thus also taken various open & secrete measures to ensure security.

- C-Angelx uses a number of third-party payment gateway (credit-card processing) companies, as an example bellow we also use PayPal & Payfast:
17. Monitoring
We have the right, but not the obligation, to monitor any activity and content associated with the Website. We may investigate any reported violation of these Conditions or complaints and take any action that we deem appropriate (which may include, but is not limited to, issuing warnings, suspending, terminating or attaching conditions to your access and/or removing any materials from the Website).
18. Law
The Conditions will be exclusively governed by and construed in accordance with the laws of South Africa whose Courts will have exclusive jurisdiction in any dispute, save that we have the right, at our sole discretion, to commence and pursue proceedings in alternative jurisdictions.
Severability
In the event of any one or more of the provisions of this agreement being held for any reason to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision of this agreement, and this agreement shall be construed as if such invalid, illegal or unenforceable provision was not a part of this agreement, and the agreement shall be carried out as nearly as possible in accordance with its original terms and intent
19. Updating of these Terms and Conditions
We reserve the right to change, modify, add to or remove from portions or the whole of these Terms and Conditions from time to time. Changes to these Terms and Conditions will become effective upon such changes being posted to this Website. It is the User’s obligation to periodically check these Terms and Conditions at the Website for changes or updates. The User’s continued use of this Website following the posting of changes or updates will be considered notice of the User’s acceptance to abide by and be bound by these Terms and Conditions, including such changes or updates. 20. Consent
I understand that all the designs and trademarks are registered to C-Angelx or the relevant merchants who use C-Angelx for business, and hereby accept the terms and conditions. I undertake not to copy/duplicate the trademarks and designs directly or indirectly in anyway and understand the legal implications thereof. Should I be found to be in violation of this agreement I understand that I will be held liable for all legal costs incurred by C-Angelx or any affected merchants & NPOs who use C-Angelx’ for any civil action or any legal action deemed necessary against me.
